Illinois LLC Filing Deadlines: Annual Report, Fees & Due Dates (2026)
Last checked October 2026 against the official sources linked below. General information, not legal advice.
Every Illinois LLC must file an Annual Report (Form LLC-50.1) with the Secretary of State each year. It is due before the first day of your anniversary month, the month your articles of organization were filed, and the fee is $75. File late and you are delinquent. If the default is not cured before the first day of the second month after your anniversary month, you owe a $100 penalty, plus another $100 for each additional year you stay delinquent. Ignore it and the Secretary of State mails a delinquency notice; if you do not fix the default within 120 days of that notice, your LLC is administratively dissolved. Getting reinstated costs $200 plus every back fee and penalty.

What happens if you miss the Illinois deadline
The $100 late penalty hits as soon as you fail to cure the default before the first day of the second month after your anniversary month, and it grows by $100 for every additional year (or fraction of a year) you stay delinquent. There is no waiver: the statute provides no abatement even if you never received a notice.
While delinquent, the Secretary of State can refuse to file any of your other documents until you are back in good standing. Then comes the delinquency notice by mail. You get 120 days from the date of that notice to file the missing report and pay up. Miss that window and the state dissolves your LLC by issuing a certificate of dissolution.
Reinstatement is possible but expensive: a $200 application fee plus all reports, fees, and penalties then due.
How to file the Illinois Annual Report
- Go to the Illinois Secretary of State's LLC annual report page and choose the online filing option (or file Form LLC-50.1 by mail).
- Enter your LLC's file number (the number ilsos.gov assigned at formation). It is on your articles of organization and any prior annual report.
- Confirm or update the LLC's principal address, managers, and registered agent information. Note: the annual report cannot change your registered agent; that takes a separate Form LLC-1.36 or LLC-1.37.
- Pay the $75 filing fee by card (a payment-processor fee applies online).
- Save the confirmation. Your next report is due before the first day of the same anniversary month next year.
- Let LLC Keeper remind you next time: find your LLC with the checker below (free for your first LLC), and get an email before each deadline with a direct link to Illinois Secretary of State.
Frequently asked questions
How do I find my Illinois LLC file number?
It is the number the Secretary of State assigned when your LLC was formed. Find it on your articles of organization or any prior annual report, then enter it on the filing page.
I just formed my Illinois LLC. Is an annual report due this year?
Your first report is due before the first day of the anniversary month in the year after formation. If you formed in March 2026, your first report is due before March 1, 2027.
What happens if I file my Illinois annual report late?
You owe a $100 late penalty once the default is not cured before the first day of the second month after your anniversary month, plus $100 for each additional year of delinquency. File and pay as soon as you realize: the penalty clock does not stop on its own.
Can my Illinois LLC be dissolved for not filing the annual report?
Yes. After a mailed delinquency notice, you have 120 days to correct the default. If you do not, the Secretary of State administratively dissolves the LLC. Reinstatement costs $200 plus all back fees and penalties.
Is the Illinois LLC annual report the same as a tax return?
No. The annual report updates the state's records about your LLC (address, managers, agent) and costs $75. It has nothing to do with income tax; Illinois LLCs handle tax separately.
Can I change my registered agent on the Illinois annual report?
No. Form LLC-50.1 cannot change the registered agent. Use Form LLC-1.36 (change of agent) or LLC-1.37 (change of agent address) separately.
I have a Series LLC. Is the fee still $75?
Not exactly. A Series LLC pays $75 plus $50 for each series with a certificate of designation in effect on the last day of the third month before its anniversary month. Standard LLCs pay the flat $75. Series LLCs cannot use the online annual-report filing system and may need to file on paper.
