Oregon LLC Filing Deadlines: Annual Report, Fees & Due Dates (2026)
Last checked October 2026 against the official sources linked below. General information, not legal advice.
Every Oregon LLC must file an Annual Report (called a renewal) with the Secretary of State each year. It is due on the anniversary date of your original filing (the date the state filed your articles of organization), and the fee is $100 for domestic LLCs ($275 for foreign LLCs). The Secretary of State mails a renewal notice about 45 days before the due date. Oregon charges no late fee. Failing to deliver the report when due is grounds for administrative dissolution. The SOS sends written notice and you get 45 days to fix it; miss that and your LLC is dissolved.

What happens if you miss the Oregon deadline
Oregon charges no late fee. The Business Registry fee schedule lists no late-fee line for LLC renewals; instead, the statute makes failing to deliver your annual report when due a ground for administrative dissolution. The Secretary of State sends written notice and you get 45 days after that notice to file and pay. Miss the cure window and the SOS dissolves your LLC.
A dissolved LLC continues to exist but, in the statute's words, 'may not carry on any activities except activities that are necessary or appropriate to wind up and liquidate' (ORS 63.651). While dissolved, the LLC can only wind up its affairs: it cannot sign new contracts or leases in the ordinary course of business.
Reinstatement is available within five years of dissolution, and it relates back as if the dissolution never happened, but it requires a reinstatement application, a reinstatement fee, and every missed annual-report fee. Your business name must also still be available; if someone else took it while you were dissolved, you reinstate under a new name. Filing the $100 report on time avoids the reinstatement process entirely.

Frequently asked questions
Is the Oregon report due on my anniversary or at year end?
On your anniversary: the date the state filed your articles of organization, every year. It is not a calendar year-end filing.
I just formed my Oregon LLC. When is my first annual report due?
On the first anniversary of your original filing date (the date the Secretary of State filed your articles of organization. The renewal notice goes out about 45 days before, and the renewal opens then.
Is there a late fee for the Oregon LLC annual report?

My Oregon LLC was administratively dissolved. How do I reinstate it?
Apply for reinstatement within five years of the dissolution date. You will pay a reinstatement fee plus every missed annual-report fee, and your business name must still be available; if it is taken, you must reinstate under a new name. Reinstatement relates back to the dissolution date, as if it never happened (ORS 63.654).
How much is the Oregon LLC annual report for a foreign LLC?
Foreign LLCs pay $275 per year, versus $100 for domestic LLCs. The anniversary-date deadline and the 45-day advance notice work the same way for both.
Does Oregon send a reminder before the annual report is due?
Yes. The Secretary of State mails a renewal notice about 45 days before your anniversary due date. Make sure the mailing address the state has on file for your LLC is current so the notice reaches you.
