Iowa LLC Filing Deadlines: Biennial Report, Fees & Due Dates (2027)
Last checked October 2026 against the official sources linked below. General information, not legal advice.
Only odd years. Iowa LLCs file a Biennial Report every odd-numbered year, between January 1 and April 1. File online through the Secretary of State's Fast Track Filing for $30 (paper filing costs $45). No late fee is prescribed in Iowa's statute or fee rules. The consequence is administrative dissolution: the Secretary of State may start dissolution proceedings once your report is more than 60 days late, and after a 60-day cure notice, your LLC is dissolved. The reinstatement application is $5, plus the two most recent biennial reports, but a dissolved LLC cannot legally operate in the meantime.

What happens if you miss the Iowa deadline
Iowa charges no late fee. After 60 days overdue, the Secretary of State can start dissolution: written notice, 60 days to fix it, then a certificate of dissolution, and your LLC ceases to exist as a legal entity.
A dissolved LLC cannot legally transact business in Iowa, and its name is protected only if reinstatement is effective within five years of the dissolution date: reinstate after that and the LLC must adopt a new, compliant name. Contracts signed while dissolved, loans, and property transfers all become messy. The liability shield you formed the LLC for is gone.
The way back is cheap but not instant: a $5 Application for Reinstatement under Iowa Code §489.710, plus the two most recent biennial reports. Reinstatement relates back to the dissolution date as if it never happened, which cleans up the interim period, but only if you actually file it.
How to file the Iowa Biennial Report
- Go to filings.sos.iowa.gov, the Secretary of State's Fast Track Filing portal.
- Search for your LLC and open its biennial report filing.
- Confirm the principal office address, registered agent, and managers or members. Update anything that changed.
- Pay $30 online by card or e-check (paper filing by mail costs $45).
- Save the confirmation. Your next report is due January 1 – April 1 of the next odd-numbered year.

Frequently asked questions
I missed the April 1 Iowa deadline. Can I still file?
Yes, file as soon as possible through Fast Track Filing. Iowa charges no late fee, so there is no penalty for filing late, but once the report is more than 60 days overdue the Secretary of State can start dissolution proceedings. Do not wait.
My Iowa LLC was formed in an even year. When is my first biennial report due?
In the January 1 – April 1 window of the first odd-numbered year after your formation year. Formed any time in 2024 → first due early 2025. Formed in 2025 or 2026 → first due early 2027.
Is there a late fee for the Iowa biennial report?
No late fee is prescribed in Iowa's statute or fee rules. The consequence of not filing is administrative dissolution proceedings, which start once the report is more than 60 days overdue.
My Iowa LLC was administratively dissolved. How do I reinstate it?
File an Application for Reinstatement ($5) with the Secretary of State, plus the two most recent biennial reports, showing the grounds for dissolution no longer exist. Reinstatement relates back to the dissolution date as if it never happened.
Can I file the Iowa biennial report by mail?
Yes, but it costs $45 instead of the $30 online fee, and it is slower. Fast Track Filing at filings.sos.iowa.gov is the cheaper route.
Is the biennial report the same as an annual report?
It serves the same purpose (keeping the state's records current), but Iowa LLCs file it every two years (odd-numbered years) instead of annually.
